Terms of Service

1. Acceptance of Terms
By accessing or using otaiautomates.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use this site or engage our services.
2. Services
OTAI Automates provides document and financial automation services for contractors and builders. Specific deliverables, timelines, and scope are defined in individual service agreements executed between OTAI Automates and the client prior to commencement of any work.
3. Payment Terms
Payment terms are outlined in individual service agreements. Generally, OTAI Automates requires 50% of the project fee upfront prior to commencement and 50% upon completion. Ongoing retainer services are billed monthly in advance.
4. Intellectual Property
All systems, workflows, and automation architecture built by OTAI Automates remain the intellectual property of OTAI Automates until full payment is received, at which point the client receives a license to use the delivered systems as specified in the service agreement.
5. Client Responsibilities
Clients are responsible for providing timely access to required systems, credentials, and information. Project timelines are contingent on the client providing necessary inputs. OTAI Automates is not liable for delays caused by late or incomplete client inputs.
6. Limitation of Liability
OTAI Automates shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability in any matter arising from a service engagement shall not exceed the total fees paid by the client for that engagement.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of any service agreement.
8. Termination
Either party may terminate a service agreement with 14 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date.
9. Governing Law
These terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles.
